1. Terms of Use and Access for the Grove Website and/or Application

1. These terms and conditions govern your (the ”User”) use of and access to the Grove website and/or application, including all pages, links, tools, and features related to the services provided by it. By using the Grove website and/or application, the User explicitly acknowledges and agrees to comply with these terms and conditions set forth by the company that owns the Grove trademark.

2. The User's continued use of the website and/or application constitutes explicit consent to these terms and conditions, which will be considered effective and binding upon the User from the moment of such consent.

2. Introduction and General Provisions

1. Before initiating or continuing membership in the electronic application, the User must read and agree to the Grove User Agreement and the Grove Privacy Policy ("Privacy Policy"). The User must also review this agreement, the Privacy Policy, and all related information accessible via the links provided in this agreement, as these documents contain terms and conditions applicable to the User as a Grove user. The User's use of the site constitutes an express acknowledgment and agreement to abide by all terms and conditions of the Grove Agreements.

3.  Membership Conditions

1. Grove requires that all its users be legally capable of entering into contracts and does not permit minors to purchase goods or services. Consequently, membership in the application is restricted exclusively to individuals over the age of 18. The User must provide proof of age upon request. Grove reserves the right to cancel the account of any member whom Grove believes has not reached the age of 18, generally and without notice, with a commitment to settle the financial accounts of the member immediately following account closure, and without prejudice to any of Grove’s rights or its right to seek compensation. No person may use the site if their membership has been terminated by Grove.

2. If the User is applying for registration as a representative of a commercial entity, the User must demonstrate the authority to act on behalf of the entity. The commercial entity must adhere to the terms of this agreement and comply with all applicable laws and regulations governing electronic commerce. When registering as a member of the site, the User is required to provide certain information and to register a username and password for using the site. The User acknowledges and agrees that failure to provide the required information and documents may result in Grove suspending the User’s membership or blocking access to the application. Grove also reserves the right to cancel any unconfirmed, unverified, or long-inactive accounts.

3. إذا كان المستخدم يتقدم بطلب للتسجيل كممثل لكيان تجاري، فيجب على المستخدم إثبات صلاحية التصرف نيابة عن الكيان. يجب على الكيان التجاري الالتزام بشروط هذه الاتفاقية والالتزام بجميع الأنظمة واللوائح المعمول بها والتي تحكم التجارة الإلكترونية. عند التسجيل كعضو في الموقع، يتعين على المستخدم تقديم معلومات معينة وتسجيل اسم مستخدم وكلمة مرور لاستخدام الموقع، ويقر المستخدم ويوافق على أن عدم تقديم المعلومات والمستندات المطلوبة قد يؤدي إلى قيام Grove بتعليق عضوية المستخدم أو منع الوصول إلى التطبيق. ويحتفظ Grove أيضاً بالحق في إلغاء أي حسابات غير مؤكدة أو لم يتم التحقق منها أو غير نشطة لفترة طويلة.

4. Electronic Communication

1. The User acknowledges and agrees that communication with the User will take place via email, or by broadcasting promotional advertisements through the application, or via text messages "SMS," or via the WhatsApp application linked to the phone number used to register in the application. The User also acknowledges and agrees that all agreements, announcements, disclosures, and other communications that the User provides electronically satisfy any legal requirement that such communications would satisfy if they were in writing. During the membership period, Grove will send promotional emails to inform the User of any changes, procedures, or new promotional activities that may be added to the application, in accordance with the User’s consent obtained during the registration process. The User has the right to opt out of receiving promotional emails and can cancel such communications by clicking on the option to request not to receive promotional messages, which is available at the bottom of the promotional and advertising messages.

3. يقر المستخدم ويوافق على أن التواصل معه سيتم عبر البريد الإلكتروني، أو عن طريق بث إعلانات ترويجية عبر التطبيق، أو عبر الرسائل النصية "SMS"، أو عبر تطبيق الواتساب المرتبط برقم الهاتف المستخدم للتسجيل في التطبيق، ويقر المستخدم أيضاً ويوافق على أن جميع الاتفاقيات والإعلانات والإفصاحات وغيرها من الاتصالات التي يقدمها المستخدم إلكترونياً تلبي أي متطلبات قانونية قد تلبيها هذه الاتصالات إذا كانت كتابية. خلال فترة العضوية، سترسل Grove رسائل بريد إلكتروني ترويجية لإبلاغ المستخدم بأي تغييرات أو إجراءات أو أنشطة ترويجية جديدة قد تتم إضافتها إلى التطبيق، وفقاً لموافقة المستخدم التي تم الحصول عليها أثناء عملية التسجيل. ويحق للمستخدم إلغاء الاشتراك في تلقي رسائل البريد الإلكتروني الترويجية ويمكنه إلغاء هذه الاتصالات من خلال النقر على خيار طلب عدم تلقي الرسائل الترويجية، والمتوفر في أسفل الرسائل الترويجية والإعلانية.

5.  Personal Information and Transaction Details

1. The User acknowledges and agrees to grant to Grove an exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through several tiers) right to use any information or materials, personal or otherwise, provided by the User and/or to users of the website and/or application and/or announced on the website and/or application during the registration or purchase process, or during the process of displaying and selling goods, or through the space designated for feedback, or via any electronic message or any of the communication channels available on the website and/or application ("Information"), with the aim of operating and promoting the website and/or application in accordance with the provisions of the User Agreement and Privacy Policy. The User also agrees and acknowledges that the User is solely responsible for all this Information, and Grove's role is limited to enabling the User to display this Information and publish it on the website and/or application pages.

2. يقر المستخدم ويوافق على منح Grove حق حصري وعالمي ودائم وغير قابل للإلغاء وخالي من حقوق الملكية وقابل للترخيص من الباطن (من خلال عدة مستويات) لاستخدام أي معلومات أو مواد، شخصية أو غير ذلك، يقدمها المستخدم و/أو إلى مستخدمي الموقع و/أو التطبيق و/أو المعلنين على الموقع و/أو التطبيق أثناء عملية التسجيل أو الشراء، أو أثناء عملية عرض وبيع البضائع، أو من خلال المساحة المخصصة لإبداء الرأي، أو عبر أي رسالة إلكترونية أو أي من قنوات الاتصال المتاحة على الموقع و/أو التطبيق ("المعلومات")، بهدف تشغيل وترويج الموقع و/أو التطبيق وفقاً لأحكام اتفاقية المستخدم وسياسة الخصوصية. كما يوافق المستخدم ويقر بأن المستخدم هو المسؤول الوحيد عن كل هذه المعلومات، ويقتصر دور Grove على تمكين المستخدم من عرض هذه المعلومات ونشرها على الموقع و/أو صفحات التطبيق.

6. Application Usage and Intellectual Property

1. All content included on the website and/or application, including, but not limited to, text, product images, graphic designs, logos, button icons, icons, audio clips, video clips or animation, digital uploads, compiled data, and electronic software, is the property of Grove or the authors of these contents or their licensors, and is protected under copyright, trademark, patent, or other intellectual property rights laws. The contents compiled on the website and/or application are the exclusive property of Grove, are copyrighted to Grove, and are protected by copyright, trademark, patent, or other intellectual property rights laws.

7. Transfer of Rights and Obligations

The User acknowledges and agrees to grant Grove the right to transfer part or all of its rights, benefits, obligations, and responsibilities (whether fixed or potential) under the User Agreement to any of its affiliated entities or to third parties, at any time and without the need to refer to the User. Grove is committed to making every effort to notify the User of such transfers by publishing on the website and/or application. Conversely, the User cannot transfer their benefits, rights, and obligations (whether fixed or potential) under the provisions of the User Agreement to others without obtaining prior written consent from Grove.

2. يقر المستخدم ويوافق على منح Grove الحق في نقل جزء أو كل حقوقه وفوائده والتزاماته ومسؤولياته (سواء الثابتة أو المحتملة) بموجب اتفاقية المستخدم إلى أي من الكيانات التابعة له أو إلى أطراف ثالثة، في أي وقت و دون الحاجة إلى الرجوع إلى المستخدم. تلتزم Grove ببذل قصارى جهدها لإخطار المستخدم بعمليات النقل هذه عن طريق النشر على الموقع الإلكتروني و/أو التطبيق. وعلى العكس من ذلك، لا يمكن للمستخدم نقل مزاياه وحقوقه والتزاماته (سواء كانت ثابتة أو محتملة) بموجب أحكام اتفاقية المستخدم إلى الآخرين دون الحصول على موافقة كتابية مسبقة من Grove.

8. Terms of Sale and Service Delivery

1. The User agrees to adhere to the terms related to payments, refunds, cancellations, and the delivery of goods or services as specified by Grove. Grove reserves the right to modify the prices of goods or services offered through the website and/or application without prior notice. The User must fulfill all payment obligations for purchases made. Refunds and cancellations are governed by the specific terms provided at the time of purchase and may vary depending on the nature of the transaction.

3. يوافق المستخدم على الالتزام بالشروط المتعلقة بالمدفوعات والمبالغ المستردة والإلغاءات وتسليم البضائع أو الخدمات على النحو المحدد من قبل Grove. وتحتفظ Grove بالحق في تعديل أسعار السلع أو الخدمات المقدمة من خلال الموقع و/أو التطبيق دون إشعار مسبق. يجب على المستخدم الوفاء بجميع التزامات الدفع للمشتريات التي تم إجراؤها. تخضع المبالغ المستردة والإلغاءات للشروط المحددة المقدمة في وقت الشراء وقد تختلف حسب طبيعة المعاملة.

9. Limitation of Liability and Disclaimers

1. Grove does not guarantee that the website and/or application will be error-free or uninterrupted. Grove shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or the inability to use the service, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, even if Grove has been advised of the possibility of such damages. The User specifically acknowledges that Grove is not liable for the conduct of any user.

2. لا يضمن Grove أن يكون موقع الويب و/أو التطبيق خالياً من الأخطاء أو مستمراُ في العمل. ولن يكون Grove مسؤولاً عن أي أضرار مباشرة، أو غير مباشرة، أو عرضية، أو خاصة أو تبعية تنشأ عن استخدام الخدمة أو عدم القدرة على استخدامها، بما في ذلك على سبيل المثال لا الحصر، الأضرار الناجمة عن خسارة الأرباح أو الشهرة أو الاستخدام أو البيانات أو غيرها من الأضرار والخسائر غير الملموسة، حتى لو تم إخطار Grove بإمكانية حدوث مثل هذه الأضرار. ويقر المستخدم على وجه التحديد بأن Grove ليس مسؤولاً عن سلوك أي مستخدم.

10. Indemnity

1. The User agrees to indemnify and hold Grove, its affiliates, officers, agents, and other partners and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of the User's use of the website and/or application, the User's violation of the User Agreement, or the User's violation of any rights of another.

2. يوافق المستخدم على تعويض Grove والشركات التابعة لها ومسؤوليها ووكلائها وغيرهم من الشركاء والموظفين وحمايتهم من أي مطالبة أو طلب، بما في ذلك أتعاب المحاماة المعقولة، التي يقدمها أي طرف ثالث بسبب أو ناشئة عن استخدام المستخدم لـ الموقع و/أو التطبيق، أو مخالفة المستخدم لاتفاقية المستخدم، أو مخالفة المستخدم لأي حقوق للآخرين.

11. Changes to Terms and Conditions

3. Grove reserves the right to modify these terms and conditions at any time. Changes will be communicated to the Users through the website and/or application or via email. The continued use of the website and/or application after any such changes shall constitute the User’s consent to such changes.

12. User Account and Registration Obligations

1. Upon registering for an account on the Grove website and/or application, the User is required to provide accurate and complete information as prompted by the registration form and to maintain and promptly update the registration data to keep it accurate, current, and complete. The User is responsible for maintaining the confidentiality of their account password and username and is fully responsible for all activities that occur under their account. The User agrees to immediately notify Grove of any unauthorized use of their password or account or any other breach of security. Grove cannot and will not be liable for any loss or damage arising from the User's failure to comply with this section.

4. عند التسجيل للحصول على حساب على موقع Grove الإلكتروني و/أو التطبيق، يتعين على المستخدم تقديم معلومات دقيقة وكاملة كما هو مطلوب في نموذج التسجيل والحفاظ على بيانات التسجيل وتحديثها على الفور لإبقائها دقيقة وحديثة وكاملة. ويتحمل المستخدم مسؤولية الحفاظ على سرية كلمة المرور واسم المستخدم الخاص بحسابه ويكون مسؤولاً مسؤولية كاملة عن جميع الأنشطة التي تحدث ضمن حسابه، ويوافق المستخدم على إخطار Grove على الفور بأي استخدام غير مصرح به لكلمة المرور أو الحساب الخاص به أو أي خرق آخر للأمن، ولا يمكن لـ Grove ولن يكون مسؤولاً عن أي خسارة أو ضرر ينشأ عن فشل المستخدم في الالتزام بهذا القسم.

13. Privacy Policy

1. Grove is committed to protecting the privacy of its users. Information collected about the User during the registration, operation, and use of the website and/or application is subject to the terms of the Grove Privacy Policy, available at our website and/or application. This policy details how user data will be collected, used, and protected, and the User's rights regarding their personal and non-personal information. The User's continued use of the website and/or application constitutes their agreement to the Privacy Policy.

2. تلتزم شركة Grove بحماية خصوصية مستخدميها، المعلومات التي يتم جمعها عن المستخدم أثناء التسجيل والتشغيل واستخدام الموقع و/أو التطبيق تخضع لشروط سياسة خصوصية Grove، المتوفرة على موقعنا و/أو التطبيق، وتوضح هذه السياسة بالتفصيل كيفية جمع بيانات المستخدم واستخدامها وحمايتها، وحقوق المستخدم فيما يتعلق بمعلوماته الشخصية وغير الشخصية، يشكل استمرار استخدام المستخدم للموقع و/أو التطبيق موافقته على سياسة الخصوصية.

14. User Conduct and Responsibilities

1. The User agrees to use the website and/or application only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of the website and/or application. Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the website and/or application. The User must not use the website and/or application to send unsolicited commercial communications. The User must not use the content on the website and/or application for any marketing-related purposes without the express written consent of Grove. Additionally, the User is expected to respect copyright laws and other applicable laws when using the website and/or application.

2. يوافق المستخدم على استخدام موقع الويب و/أو التطبيق فقط للأغراض النظامية وبطريقة لا تخالف حقوق أو تقيد أو تمنع أي شخص آخر من استخدام الموقع و/أو التطبيق والاستمتاع به. يشمل السلوك المحظور مضايقة أي شخص أو التسبب في ضيقه أو إزعاجه، أو نقل محتوى فاحش، أو مسيء، أو تعطيل التدفق الطبيعي للحوار داخل الموقع و/أو التطبيق. ويجب على المستخدم عدم استخدام الموقع و/أو التطبيق لإرسال اتصالات تجارية غير مرغوب فيها. ولا يجوز للمستخدم استخدام المحتوى الموجود على موقع الويب و/أو التطبيق لأي أغراض متعلقة بالتسويق دون الحصول على موافقة كتابية صريحة من Grove. بالإضافة إلى ذلك، من المتوقع أن يحترم المستخدم أنظمة حقوق الطبع والنشر والأنظمة الأخرى المعمول بها عند استخدام الموقع و/أو التطبيق.

15. Governing Law and Jurisdiction

15. القانون الحاكم والاختصاص القضائي

1. This User Agreement and Privacy Policy are governed by the laws of the Kingdom of Saudi Arabia. The courts of Riyadh, Kingdom of Saudi Arabia, shall have exclusive jurisdiction over any disputes arising from or related to this User Agreement and the Privacy Policy.
2. This Agreement is executed in both Arabic and English. In the event of any discrepancies or conflicts between the Arabic and English versions, the Arabic version shall prevail.

2. تخضع اتفاقية المستخدم وسياسة الخصوصية هذه لأنظمة المملكة العربية السعودية، وتتمتع محاكم الرياض، المملكة العربية السعودية، بالولاية القضائية الحصرية على أي نزاعات تنشأ عن أو تتعلق باتفاقية المستخدم هذه وسياسة الخصوصية.
3. تم تحرير هذه الاتفاقية باللغتين العربية والإنجليزية، وفي حالة وجود أي اختلافات أو تعارض بين النسختين العربية والإنجليزية، فإن النسخة العربية هي التي تسود.
